1. Definitions

  • "Ovysion" / "We" / "Us": Ovysion Ltd, registered in England and Wales, trading as MeetDelia.
  • "Service": The Delia AI receptionist platform — voice answering, transcription, SMS messaging, booking workflows, dashboard, calendar integrations, mobile app, and associated tools.
  • "Customer" / "You": The individual or business entity subscribing to the Service.
  • "Callers" / "End-Users": Third parties (your customers or clients) who interact with Delia on your behalf.
  • "Subscription": The plan, billing term, and fees as selected at sign-up.
  • "Custom Setup": The one-time configuration work carried out by Ovysion to build and launch your personalised Delia receptionist.
  • "Agreement": These Terms together with our Privacy Policy, Cookie Policy, Data Processing Agreement, and Third-Party Provider Policy.

2. The Service

2.1 What We Provide

Ovysion provides an AI-powered receptionist that answers inbound calls on your behalf, takes messages, handles bookings, sends SMS summaries, captures lead information, and routes emergency calls — as configured during onboarding. Provided on a SaaS/PaaS basis.

2.2 Third-Party Delivery

The Service is delivered using specialist third-party providers including Twilio, Vapi, OpenAI, Deepgram, ElevenLabs, and Replit. Ovysion will use reasonable endeavours to maintain service continuity but cannot guarantee uninterrupted availability where disruption is caused by third-party providers, network outages, or events outside our reasonable control.

2.3 UK Phone Numbers

A dedicated UK phone number is provisioned for you and available during your active subscription. Numbers are subject to carrier rules and regulatory requirements. Unless expressly agreed in writing, numbers are not transferred to you. Ovysion may change a number with reasonable notice where technically necessary.

2.4 AI Limitations

  • AI-generated content may contain errors or omissions and should be reviewed
  • Delia does not provide professional, medical, legal, or financial advice
  • You are responsible for reviewing call summaries and acting on information appropriately
  • Ovysion makes no warranty that Delia will handle every possible call scenario to your satisfaction

3. Onboarding and Custom Setup

3.1 Setup Fee

A one-time Custom Setup fee of £400 + VAT applies. This is waived for 6-month and 12-month commitment plans. The fee covers: voice selection, scripting, sector-specific call handling, calendar integration, SMS configuration, number provisioning, and go-live testing.

3.2 Your Obligations

You are responsible for providing accurate, complete, and lawful onboarding information — operating hours, service areas, call escalation preferences, and cancellation policy. You must review your Delia configuration before relying on it and promptly notify us of inaccuracies.

3.3 Go-Live Target

Ovysion targets go-live within 5–7 business days of receiving complete onboarding information. This is a target, not a guarantee.

All prices exclude VAT at the prevailing UK rate (currently 20%).

5. Pricing, VAT, and Billing

5.1 VAT

VAT at 20% is added to all invoices. For VAT-registered businesses, VAT charged on Delia is fully reclaimable as input tax on your next VAT return.

5.2 Commitment Incentives

  • 6-month commitment: Custom Setup fee (£400 + VAT) waived at no charge
  • 12-month commitment: Custom Setup fee waived AND 2 months free (pay for 10, receive 12)

5.3 Automatic Scaling

If your usage exceeds your plan's inclusive minutes or SMS segments, Ovysion will automatically scale you to the next tier for that cycle and notify you by email. You may revert to your original plan the following cycle if usage returns within limits.

5.4 Price Changes

Ovysion reserves the right to change prices with 30 days' written notice. You may cancel before a price change takes effect.

6. Minimum Terms and Cancellation

6.1 Monthly Subscriptions

No minimum term. Cancel at any time with 30 days' written notice. Service remains active until end of current billing cycle.

6.2 Committed Term Subscriptions

Where you have accepted a commitment incentive, you are bound to that minimum term. You may request early termination but remain liable for all monthly fees due for the remainder of the minimum term unless Ovysion agrees otherwise in writing.

6.3 How to Cancel

Cancellation must be made in writing by email to support@ovysion.com. Verbal requests will not be accepted. Cancellation takes effect at the end of the current billing cycle after the required notice period.

6.4 Setup Fee — Non-Refundable

The Custom Setup fee is non-refundable once configuration work has commenced. If a commitment incentive was used to waive the setup fee and you cancel early, the original fee value (£400 + VAT) becomes due.

7. Acceptable Use

You must not:

  • Use Delia to deceive, mislead, or harass callers
  • Use the Service for illegal activities, spam, or harmful content
  • Attempt to reverse-engineer or interfere with the Service
  • Use the Service in violation of UK law including UK GDPR and PECR
  • Allow unauthorised third parties to access your account

Ovysion reserves the right to suspend or terminate your account immediately if you breach this clause.

8. Your Data and Caller Data

You retain full ownership of your business data, call content, and customer data. Ovysion processes this solely to provide the Service.

You are the Data Controller for caller data. You are responsible for informing callers that their call is handled by an AI receptionist, having a lawful basis for processing their data, and including Delia in your own privacy notice.

A Data Processing Agreement (DPA) is incorporated into this Agreement and accepted at sign-up.

9. Intellectual Property

The Service and all underlying software, AI models, interfaces, and proprietary content are owned by Ovysion or its licensors. You are granted a limited, non-exclusive, non-transferable licence to use the Service for your internal business purposes during your active subscription. You may not copy, modify, sublicense, or distribute any part of the Service.

10. Liability

10.1 No Limitation of Certain Liabilities

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation, or any other liability that cannot be excluded under UK law.

10.2 Liability Cap

Subject to 10.1, Ovysion's total liability shall not exceed the greater of: (a) total fees paid by you in the 3 calendar months preceding the event, or (b) £1,000.

10.3 Excluded Losses

  • Loss of profit, revenue, business, or anticipated savings
  • Loss of goodwill or reputation
  • Loss or corruption of data
  • Third-party service failures, network outages, or carrier interruptions
  • Events beyond Ovysion's reasonable control (force majeure)

11. Warranties

Ovysion warrants it will provide the Service with reasonable care and skill. Beyond this, the Service is provided "as is" and "as available" without warranty of uninterrupted or error-free performance. Implied warranties are excluded to the maximum extent permitted by UK law.

12. Termination by Ovysion

Ovysion may suspend or terminate your account if you: breach these Terms and fail to remedy within 7 days of written notice; fail to make payment and remain in arrears for more than 14 days; use the Service for illegal or abusive purposes; or become insolvent or enter administration.

13. Governing Law and Disputes

These Terms are governed by the laws of England and Wales. Any dispute shall be subject to the exclusive jurisdiction of the courts of England and Wales. Ovysion will attempt to resolve disputes informally first — contact support@ovysion.com before initiating formal proceedings.

14. General

  • Entire agreement: This Agreement supersedes all prior discussions and representations.
  • Variation: Ovysion may update these Terms with 30 days' notice. Continued use = acceptance.
  • Severability: If any provision is unenforceable, all other provisions remain in force.
  • Waiver: Failure to exercise a right does not constitute a waiver of that right.
  • Third-party rights: No rights are conferred on third parties (Contracts (Rights of Third Parties) Act 1999).
  • Force majeure: Ovysion is not liable for delay or failure caused by circumstances beyond its reasonable control.
